TERMS AND CONDITIONS OF USE

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the user ("User" or "You"), and Pranik Technologies Private Limited, operating under the brand name Pranik.ai ("Company," "We," "Us," or "Our"), a company incorporated under the laws of India, having its registered office at Plot No. 114-116, Gafoornagar, Hyderabad, Telangana. These Terms govern your access to and use of the P4P (Pranik for People) mobile application ("App") and all associated services.

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations of India. If you do not agree with any part of these Terms, you must immediately cease use of the App.

I. DEFINITIONS

The following terms shall have the meanings ascribed to them herein:

App

The P4P (Pranik for People) mobile application, including all features, content, AI functionalities, and services offered therein.

PHA Avatar

The voice-first, proactive, and empathy-trained Artificial Intelligence Personal Health Assistant integrated within the App, designed to serve as the Userโ€™s health companion and navigator.

Personal Data

Any information relating to an identified or identifiable natural person, as defined under the Digital Personal Data Protection Act, 2023 (โ€œDPDP Actโ€).

Sensitive Personal Data

Categories of Personal Data including health and medical data, biometric data, financial data, and other categories as prescribed under applicable law.

Services

All functionalities provided through the App including but not limited to: teleconsultation, telemedicine, appointment booking, lab test booking, diet planning, wearable device integration, hospital/clinic locator, emergency assistance, fall detection, health record management, and AI-powered health guidance.

Teleconsultation

Remote medical consultations conducted via the App between a User and a Registered Medical Practitioner (RMP), in accordance with the Telemedicine Practice Guidelines, 2020 issued by the Board of Governors of the Medical Council of India / National Medical Commission.

Digital Twin (Doctorโ€™s)

The AI-powered physician avatar created on the P4D platform, accessible to the User through P4P, representing the consulting doctor.

Anonymized Data

Data from which all personally identifiable information has been irreversibly removed such that no individual can be identified directly or indirectly.

RMP

A Registered Medical Practitioner holding a valid registration with the National Medical Commission or any State Medical Council of India.

DPDP Act

The Digital Personal Data Protection Act, 2023, as amended from time to time, along with rules and regulations framed thereunder.

User Content

Any data, information, or content submitted by the User through the App, including health records, messages, images, and voice interactions.

Emergency Services

Government or privately operated emergency medical response infrastructure, including but not limited to ambulance services (112/108), emergency rooms, and urgent care facilities.

II. DESCRIPTION OF SERVICES

The App provides a comprehensive, AI-powered mobile health platform offering the following services:

A. Healthcare Access Services

  • Teleconsultation: Video, audio, and text-based consultations with licensed RMPs.

  • Telemedicine: Remote diagnosis and prescription services by verified doctors, compliant with the Telemedicine Practice Guidelines, 2020.

  • Appointment Booking: Scheduling in-person appointments with doctors, specialists, hospitals, and clinics.

  • Laboratory Services: Booking of diagnostic tests, lab sample collection, and access to digital test reports.

B. AI-Powered Health Companion (PHA Avatar)

  • Voice-first, proactive health companion providing personalized health prompts, reminders, and general wellness information.

  • Health intake and triage assistance prior to consultations - generating a structured pre-consultation SOAP summary for the treating RMP.

  • Post-consultation follow-up support and medication adherence reminders.

  • Navigation across sick care, surgical care, chronic disease management, post-operative care, and preventive health.

  • Voice audio from PHA Avatar interactions is processed through a secure anonymization pipeline and raw audio is permanently deleted within 24 hours. Only anonymized transcripts are retained.

B-1. Audio and Video Processing - Important

The Company processes audio and video data from certain features as follows:

  • Voice audio from PHA Avatar interactions and teleconsultations: raw, identifiable audio is retained only for the duration of processing through our secure anonymization pipeline, after which it is permanently and automatically deleted. It is not stored as a clinical record.

  • Live video feeds from teleconsultations and camera-based real-time vitals: processed in real-time only. No video files of the User's camera feed are saved or stored on our servers at any point. The system architecture has no video recording capability.

C. Skin Analyser

  • AI-powered analysis of photographs you upload of your skin or body parts for informational dermatological assessment.

  • The Skin Analyser is NOT a diagnostic tool for skin cancer, melanoma, psoriasis, or any severe dermatological condition. All results must be reviewed and verified by a licensed RMP before any clinical action.

  • Photographs uploaded for Skin Analyser are stored as part of your health record. If used for AI model improvement, all personally identifiable information is irreversibly masked through our anonymization pipeline before use.

  • You must not upload photographs of other individuals without their explicit consent.

D. Health and Wellness Management

  • Personalized diet and nutrition planning.

  • Integration with wearable health devices for real-time monitoring of vitals (heart rate, blood pressure, sleep, etc.).

  • Health records management including Electronic Health Records (EHR), prescriptions, and diagnostic reports.

  • Prescription refill reminders and medication tracking.

D. Emergency & Safety Features

  • Emergency Button: One-tap emergency alert to designated contacts and/or emergency services.

  • Fall Detection: Automated detection of potential falls via device sensors with configurable alert protocols.

  • Hospital and Clinic Locator: GPS-enabled identification of nearby healthcare facilities.

IMPORTANT DISCLAIMER: The App, including the PHA Avatar, is intended for general health information, wellness support, and facilitation of access to healthcare services. IT DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. All medical advice, diagnosis, and treatment is provided solely by licensed RMPs through the platform. The PHA Avatar is a supportive assistive technology tool and is not a substitute for professional medical consultation.

REGULATORY STATUS: The App and the PHA Avatar are NOT currently classified, cleared, or approved as medical devices or Software as a Medical Device (SaMD) by the Central Drugs Standard Control Organisation (CDSCO) under the Medical Devices Rules, 2017, or by any other Indian regulatory authority. They are offered as informational and decision-support tools only, subject to the oversight of treating RMPs. The regulatory status of AI-assisted health tools in India is evolving, and the Company's classification of its features may be subject to change if and when CDSCO or other regulatory bodies issue specific guidance on AI-assisted health software. The Company will notify users of any material regulatory reclassification.

III. USER ELIGIBILITY AND ACCOUNT REGISTRATION

A. Eligibility

To access and use the App, you must:

  • Be at least 18 (eighteen) years of age. Users below 18 may use the App only with the verifiable consent of a parent or legal guardian, in compliance with the DPDP Act, 2023.

  • Be legally capable of entering into a binding contract under the Indian Contract Act, 1872.

  • Reside in a jurisdiction where access to the App and its Services is legally permitted.

B. Account Registration

You agree to provide accurate, current, and complete information during registration and to promptly update such information. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials (username and password).

  • All activities occurring under your account, whether or not authorized by you.

  • Immediately notifying the Company of any unauthorized use or suspected breach of your account security at support@pranik.ai.

C. Identity Verification (KYC)

Certain Services (including insurance-linked features and financial transactions) may require identity verification (KYC), during which we may collect your full name, date of birth, government-issued photo ID, and address proof, in compliance with applicable regulations.

IV. AI PERSONAL HEALTH ASSISTANT - SPECIFIC TERMS AND DISCLAIMERS

The PHA Avatar is an AI-powered assistive tool designed to support your health journey. By using the PHA Avatar, you acknowledge and agree to the following:

  1. The PHA Avatar is NOT a licensed medical professional, and any information, prompts, or suggestions it provides do not constitute medical advice, clinical diagnosis, or a prescription of treatment.

  2. All outputs from the PHA Avatar are for general informational and wellness support purposes only. You must not substitute the PHA Avatar's responses for consultation with a qualified RMP.

  3. The PHA Avatar may conduct an initial health intake and generate a structured summary (such as a SOAP-format pre-consultation note) for the purpose of facilitating a consultation with an RMP. This summary is an assistive tool for the RMP and does not constitute a medical opinion until reviewed, corroborated, and finalized by the RMP.

  4. The Company is not liable for any harm arising from your reliance on information provided by the PHA Avatar in lieu of seeking timely professional medical care.

  5. In the event of a medical emergency, the PHA Avatar will direct you to emergency services (such as 112 or 108). The PHA Avatar is EXPRESSLY NOT to be used for emergency medical care. You must immediately contact appropriate emergency services in any life-threatening situation.

D. Reliance on AI Outputs - Important Warnings

You expressly acknowledge and agree to the following regarding all outputs generated by the PHA Avatar and any AI feature of the App:

  1. AI outputs may not always be accurate, and may contain material errors even where they appear accurate due to their level of detail or specificity. A detailed-sounding health summary does not make it clinically reliable.

  2. AI outputs may not reflect current, complete, or up-to-date medical information or guidelines.

  3. You must not rely on any AI output without independently confirming its accuracy with a qualified RMP.

  4. AI outputs may occasionally contain content inconsistent with established medical practice or with the Company's own policies. If you encounter such content, please report it to support@pranik.ai.

  5. The Company's AI systems are continually evolving. Improvements in accuracy and reliability cannot be guaranteed.

V. EMERGENCY SERVICES EXCLUSION

THE APP IS NOT AN EMERGENCY MEDICAL SERVICE. If you or another person are experiencing a medical emergency (including but not limited to symptoms of heart attack, stroke, severe injury, loss of consciousness, or any immediately life-threatening condition), you must immediately:

  • Call 112 (National Emergency Number) or 108 (Emergency Medical Service).

  • Proceed to the nearest hospital emergency department.

  • Alert a family member, neighbour, or bystander.

The Emergency Button and Fall Detection features within the App are designed to assist in alerting your designated emergency contacts and are supplementary safety features only. They are not substitutes for calling emergency services directly and should not be relied upon as the sole means of obtaining emergency medical assistance.

C. Specific Limitation - Fall Detection and Emergency Button

The Fall Detection and Emergency Button features are best-effort supplementary safety tools and are subject to the following specific limitations, which you acknowledge and accept:

  • Fall Detection relies on your device's accelerometer and gyroscope sensors. Detection accuracy depends on device hardware, operating system version, device placement, and the nature of the fall. Not all falls will be detected, and some non-fall movements may trigger false alerts.

  • Emergency Button and Fall Detection alerts depend on your device having an active mobile data or Wi-Fi connection and sufficient battery charge at the time of the event. The Company cannot guarantee delivery of alerts during network outages, in areas of poor connectivity, or where the device is powered off.

  • Alert delivery to emergency contacts is subject to the availability of the contact's mobile network and device. The Company has no control over whether or when an emergency contact receives or responds to an alert.

  • These features are not connected to, and do not automatically dispatch, government emergency services (112 or 108). In any emergency, you or a bystander must directly call 112 or 108.

  • The Company's liability for any failure of Fall Detection or Emergency Button features to operate as expected is excluded to the fullest extent permitted by law, subject to Section XII.B of these Terms.

VI. DATA PRIVACY AND PROTECTION

A. Commitment to Privacy

The Company is committed to protecting your Personal Data in accordance with the DPDP Act, 2023, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (IT-SPDI Rules), and all other applicable Indian data protection laws.

B. Data Collected

We collect Personal Data including but not limited to: identity information, contact details, health and medical data, payment information, device data, and usage data, as detailed in our Privacy Policy available on the App and at pranik.ai/privacy-policy.

C. Use of Anonymized Data for AI Model Training

As a core component of our service improvement and AI development, you explicitly acknowledge and agree that:

  • Your health data, interaction data, and usage data may be collected, processed, and utilized after being thoroughly and irreversibly anonymized for the purposes of training, fine-tuning, testing, and improving our in-house AI models, including the PHA Avatar.

  • This anonymization process ensures that no individual can be identified from the data used for AI training and analytics.

  • This practice is conducted in strict compliance with the principles of data minimization, purpose limitation, and privacy by design as recognized under the DPDP Act, 2023.

  • Anonymized data used for model training is aggregated and cannot be traced back to any individual User.

D. Opt-Out and Carve-Outs

You may withdraw your consent for the use of your data for AI model training by contacting dpo@pranik.ai or through the App's Privacy Settings. However, the following carve-outs apply - your data may still be used for model improvement even where you have opted out, in the following circumstances:

  • Where your interactions are flagged by the Company's automated or manual systems for safety review, trust and safety enforcement, or policy compliance - such data will be used to improve our ability to detect harmful content and maintain platform safety.

  • Where you explicitly report content to the Company (for example, using the feedback or report mechanism within the App) - the reported content will be treated as submitted for review and improvement.

These carve-outs exist to maintain the integrity and safety of the Platform and are limited strictly to the safety and trust purposes described. The Company will not use flagged or reported data for commercial analytics or advertising purposes.

D. User Rights Under DPDP Act

You have the following rights with respect to your Personal Data:

  • Right of Access: To obtain information about the Personal Data held by us and how it is processed.

  • Right to Correction and Updation: To correct inaccurate or update incomplete Personal Data.

  • Right to Erasure: To request deletion of your Personal Data, subject to applicable legal retention requirements.

  • Right to Data Portability: To receive your Personal Data in a structured, machine-readable format for transfer to another service.

  • Right to Grievance Redressal: To seek redress for grievances relating to the processing of your Personal Data by contacting our Data Protection Officer at dpo@pranik.ai.

  • Right to Withdraw Consent: To withdraw consent at any time. Upon withdrawal, your Personal Data will be erased unless retention is required by applicable law or a legitimate legal basis exists.

E. Data Security

We implement reasonable technical and organizational security measures to protect your Personal Data. However, no method of transmission over the internet or electronic storage is entirely secure, and we cannot guarantee absolute security.

VII. TELEMEDICINE AND TELECONSULTATION - SPECIFIC TERMS

All telemedicine and teleconsultation services are provided by licensed RMPs operating independently through the Platform. The Company acts solely as a technology intermediary. You acknowledge and agree that:

  1. All teleconsultations are conducted in compliance with the Telemedicine Practice Guidelines, 2020 issued by the Board of Governors of the Medical Council of India / NMC.

  2. Digital prescriptions issued through the Platform are reviewed, approved, and digitally signed by the treating RMP. They are legally valid under applicable Indian law.

  3. Teleconsultation does not involve physical examination of the patient, which may limit the scope of diagnosis and treatment. The RMP will advise in-person consultation where clinically necessary.

  4. You must provide accurate and complete health information during consultations. Providing false or misleading medical information may result in incorrect advice and is solely your responsibility.

  5. Consultation records, prescriptions, and related data may be retained for the legally mandated period under the applicable regulations.

VIII. USER RESPONSIBILITIES AND PROHIBITED CONDUCT

A. User Responsibilities

You agree to:

  • Use the App solely for lawful purposes and in accordance with these Terms.

  • Provide accurate, truthful, and complete information at all times.

  • Keep your account credentials confidential and secure.

  • Comply with all applicable laws, regulations, and guidelines in your use of the App.

B. Prohibited Conduct

You agree NOT to:

  • Provide false, inaccurate, or misleading personal or medical information.

  • Use the App for any unlawful, fraudulent, or unauthorized purpose.

  • Attempt to gain unauthorized access to any part of the App or its associated systems.

  • Interfere with the integrity, security, or performance of the App.

  • Transmit any malicious code, viruses, or harmful data.

  • Use the App to stalk, harass, or harm any other person.

  • Reverse-engineer, decompile, or attempt to extract the source code of the App.

  • Use the App for any purpose that violates the rights of any third party.

  • Screen-record, capture, photograph, or otherwise reproduce the PHA Avatar's visual appearance or voice during or outside of App sessions.

  • Use any recording, capture, or reproduction of the PHA Avatar's likeness to create deepfakes, synthetic media, AI-generated impersonations, misleading content, or any unauthorized derivative work. The Avatar's visual and vocal likeness is based on a real individual and is protected by that individual's Personality Rights as well as the Company's Intellectual Property rights. Violation of this prohibition may constitute a criminal offence under applicable Indian law including provisions of the Information Technology Act, 2000 and will result in immediate account termination and may result in legal proceedings.

IX. FEES, PAYMENTS, AND REFUNDS

The App may offer certain services, including teleconsultations and premium features, for a fee. You agree that:

  • All fees will be communicated clearly before any transaction.

  • Payments are processed through secure, third-party payment gateways. The Company does not store your payment card details.

  • Refunds, if applicable, shall be governed by the Company's Refund Policy as published on the App.

  • In-app purchases, where applicable, may be processed through your device's respective app store (Google Play Store / Apple App Store) and are subject to their applicable terms.

X. INTELLECTUAL PROPERTY RIGHTS

All intellectual property in and to the App, including its software, design, technology architecture, trademarks, logos, PHA Avatar design, and content, is owned by the Company or its licensors and is protected under applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for your personal, non-commercial use only. You shall not copy, modify, distribute, sell, lease, or create derivative works from any part of the App without the Company's prior written consent.

XI. THIRD-PARTY SERVICES, INTEGRATIONS, AND INTERMEDIARY STATUS

The App integrates with or links to third-party services, including but not limited to: wearable device platforms (e.g., Fitbit, Apple Health, Google Fit), diagnostic laboratory networks, payment gateways, map and location services, and insurance providers. The Company is not responsible for the privacy practices, terms, or content of any third-party service. You should review the terms and privacy policies of any third-party service you engage with through the App.

A. Intermediary Status Under the IT Act, 2000

For the following services facilitated through the App, Pranik Technologies Private Limited acts solely as a technology intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, and claims the protections available to intermediaries under Section 79 of the IT Act:

  • Diagnostic laboratory test booking: The App facilitates the booking of diagnostic tests with independent, licensed third-party laboratories. The Company does not itself collect samples, conduct tests, or generate reports. The accuracy, timeliness, and quality of laboratory services - including sample collection, test conduct, and result reporting - is the sole responsibility of the relevant laboratory. The Company is not liable for errors, delays, misdiagnosis, sample mix-ups, or any harm arising from the laboratory's services.

  • Appointment booking with hospitals and clinics: The App facilitates scheduling of appointments with independent healthcare providers. The quality and outcome of in-person consultations is the sole responsibility of the healthcare provider.

  • Insurance and financial service referrals: Where the App connects users with insurance providers or financial services, such connections are facilitated on a referral basis only. The terms, pricing, and execution of any insurance product or financial service are solely between the user and the relevant provider.

The Company's intermediary status for these services is conditional on the Company: (a) not initiating the transmission of the third party's content; (b) not selecting the receiver of the transmission; and (c) not modifying the information contained in the transmission, as required under Section 79 of the IT Act. Where the Company becomes aware that any third-party service facilitated through the App is unlawful, deficient, or in breach of applicable regulations, it will take reasonable steps to remove or disable access to that service.

XII. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

A. Disclaimer of Warranties

THE APP AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

B. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR HEALTH OUTCOMES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP OR ITS SERVICES.

The Company's total aggregate liability to you for any and all claims shall not exceed the greater of: (a) the amount paid by you, if any, to the Company during the six (6) months preceding the date of the claim; or (b) INR 1,000 (Indian Rupees One Thousand) - whichever is higher. This minimum floor is intended to ensure the limitation is not illusory. For the avoidance of doubt, nothing in this Agreement limits our liability for death or personal injury caused by our gross negligence or wilful misconduct.

MEDICAL MALPRACTICE DISCLAIMER: The Company is a technology platform and is not responsible for any medical advice, diagnosis, treatment, or prescription issued by an RMP through the Platform. The RMP is solely and independently responsible for all clinical decisions and medical services provided.

XIII. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of the App; (ii) your violation of these Terms; (iii) your provision of false or inaccurate information; or (iv) any third-party claim arising from your conduct on the App.

XIV. PARENTAL CONSENT AND MINORS

The App is not directed to individuals below the age of 18. If a minor uses the App, it must be under the supervision of and with the verifiable consent of a parent or legal guardian. The parent or guardian is responsible for reviewing these Terms and the Privacy Policy and accepting them on behalf of the minor. Parental consent is collected, verified, and processed in accordance with the DPDP Act, 2023.

XV. TERMINATION

The Company may suspend or terminate your access to the App immediately, without prior notice, for any breach of these Terms or for any conduct the Company determines to be harmful or unlawful. You may terminate your account at any time through the App settings. Upon termination, all licences granted to you shall immediately cease. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination.

A. Health Data Retention After Termination

Termination of your account does NOT result in the immediate deletion of all your data. Different categories of data are treated differently on termination:

  • Clinical Records (EHR, prescriptions, consultation transcripts, uploaded medical images, Skin Analyser records): retained for the mandatory statutory period - minimum 7 years for health records and minimum 5 years for prescriptions - regardless of account status. This is a legal obligation under the Clinical Establishments Act, Telemedicine Guidelines 2020, and Drugs and Cosmetics Act.

  • Raw Audio: permanently deleted within 24 hours of the anonymization pipeline completing - this deletion is automatic and not affected by account termination.

  • Raw Video: never stored at any point. No action required on termination.

  • User-Uploaded Images: retained as part of clinical records for the periods above, unless you separately request deletion of images outside the mandatory clinical record period.

  • Anonymized AI Data: indefinitely retained as it is no longer Personal Data and cannot be traced to you.

You may request a copy of your health data before or after account closure by contacting dpo@pranik.ai. Data retained solely to fulfil legal obligations will not be used for any other purpose.

B. Inactivity

If your account has been inactive for a continuous period of twenty-four (24) months and you do not have an active paid subscription, the Company reserves the right to deactivate or delete your account. Before doing so, the Company will provide you with not less than 30 (thirty) days' prior notice to your registered email address or via in-app notification. Inactivity-based deletion is subject to the health data retention obligations set out in Section XV.A above - your health records will be retained for the mandatory statutory period irrespective of account deletion.

XVI. GOVERNING LAW AND DISPUTE RESOLUTION

A. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

B. Dispute Resolution - Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or their breach, termination, or invalidity shall first be attempted to be resolved amicably through mutual discussions within thirty (30) days of written notice. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. The seat and venue shall be Hyderabad, Telangana, India. The language of arbitration shall be English. The arbitral award shall be final and binding.

C. Jurisdiction

Subject to the arbitration clause above, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

XVII. AMENDMENTS TO TERMS AND CHANGES TO SERVICES

A. Amendments to Terms

The Company reserves the right to modify these Terms at any time. For material changes, we will provide not less than thirty (30) days' prior notice via in-app notification or registered email. Your continued use of the App after such notice period constitutes your acceptance of the amended Terms. If you do not agree to the revised Terms, you must discontinue use of the App and may request deletion of your account.

B. Changes to Services

The App is a technology product and its features will evolve over time. The Company may add, modify, limit, or discontinue features and services. For changes to or discontinuation of the following safety-critical features - Emergency Button, Fall Detection, and Teleconsultation - the Company will provide not less than 30 (thirty) days' prior notice via in-app notification or registered email, except where immediate discontinuation is required due to legal obligation, regulatory order, security incident, or prevention of harm, in which case the Company will provide notice as soon as practicable. The Company will not be liable for any change, suspension, or discontinuation of non-safety-critical features.

C. Jurisdiction and Permitted Usage

The App is designed, regulated, and licensed for use within the territory of India. The telemedicine and healthcare services facilitated through the App are governed by Indian law, including the Telemedicine Practice Guidelines, 2020, which apply to medical practitioners registered in India consulting patients in India. You must not use the App for any teleconsultation from or with persons outside India unless the Company has expressly confirmed in writing that such usage complies with applicable law. The Company makes no representation that the App or its services comply with the laws of any jurisdiction other than India. Use of the App from outside India is at your own risk and sole responsibility.

XVIII. MISCELLANEOUS

A. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

B. Entire Agreement

These Terms, together with the Privacy Policy and Consent Notice, constitute the entire agreement between you and the Company with respect to your use of the App and supersede all prior communications and agreements.

C. Waiver

No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right.

D. Force Majeure

The Company shall not be liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including but not limited to acts of God, war, epidemic or pandemic, natural disasters, government orders, or failure of telecommunications infrastructure.

E. Feedback - No Compensation

You may from time to time provide feedback, suggestions, ideas, or ratings regarding the App and its features ("Feedback"). You have no obligation to provide Feedback. If you do, you agree that the Company may use your Feedback for any purpose - including product improvement, training, and marketing - without any obligation of confidentiality, attribution, or compensation to you. By providing Feedback, you waive any intellectual property claim in the Feedback to the extent necessary for the Company to use it as described.
