Privacy Policy

These Terms and Conditions ("Terms") constitute a legally binding agreement between Pranik Technologies Private Limited, operating under the brand name Pranik.ai ("Company," "P4D," "We," "Us," or "Our"), a company incorporated under the laws of India having its registered office at Plot No. 114-116, Gafoornagar, Hyderabad, Telangana, and you, the Registered Medical Practitioner ("Doctor," "You," or "Your"), who accesses or uses the P4D (Pranik for Doctors) mobile application and its associated services.

By accessing, registering for, or using the P4D App, you signify your irrevocable acceptance of these Terms, our Privacy Policy, and all applicable laws and regulations of India. If you do not agree to these Terms, you must not use the P4D App.

I. DEFINITIONS

The following terms shall have the meanings ascribed to them below:

P4D App

The Pranik for Doctors mobile application and associated web platform, designed to facilitate teleconsultations, provide CDSS-lite decision support, and enable the creation and management of the Doctor's Digital Twin.

P4P App

The Pranik for People user-facing mobile health application from which patient pre-consultation details and health data are transmitted to the P4D App.

Doctor

A Registered Medical Practitioner (RMP) holding a valid registration with the National Medical Commission (NMC) or any State Medical Council in India, who has created an account on the P4D App.

Patient

An individual User of the P4P App seeking medical consultation from a Doctor through the Platform.

Digital Twin

The AI-powered physician avatar created within P4D based on the Doctor's provided image, voice samples, and curated medical knowledge base, designed to act as an AI assistant personalised to the Doctor's practice style.

CDSS Lite

The Clinical Decision Support System (lite version) embedded in the P4D App, providing AI-assisted medicine recommendations, treatment suggestions, and differential diagnosis support, subject always to the Doctor's independent clinical review.

Live Scribe

The real-time automated transcription feature within P4D that records and structures consultation audio into a consultation transcript post-consultation.

SOAP Format

The structured clinical documentation method comprising Subjective, Objective, Assessment, and Plan sections, used for pre-consultation summaries and consultation notes.

Teleconsultation

Remote medical consultation conducted via the P4D App between the Doctor and a Patient, in accordance with the Telemedicine Practice Guidelines, 2020.

Doctor's Input Data

The Doctor's photograph, voice samples, and medical knowledge base content provided by the Doctor to create and train the Digital Twin.

Personal Data

Any information relating to an identified or identifiable natural person, as defined under the Digital Personal Data Protection Act, 2023 (DPDP Act).

Sensitive Personal Data

Categories of Personal Data including health data, biometric data, and other categories prescribed under applicable law.

RMP

Registered Medical Practitioner holding a valid registration with the NMC or any State Medical Council of India.

NMC

National Medical Commission, the statutory body governing medical education and practice in India.

Telemedicine Guidelines

The Telemedicine Practice Guidelines issued by the Board of Governors in supersession of the Medical Council of India / NMC, as amended from time to time.

DPDP Act

The Digital Personal Data Protection Act, 2023, as amended, along with all rules and regulations framed thereunder.

II. ELIGIBILITY AND REGISTRATION

A. Eligibility Criteria

To use the P4D App, you must:

  • Hold a valid registration as a Registered Medical Practitioner (RMP) with the NMC or any recognized State Medical Council of India.

  • Possess the requisite qualifications, licences, and experience to practice medicine in India under applicable laws.

  • Be legally capable of entering into a binding contract under the Indian Contract Act, 1872.

  • Not be subject to any regulatory suspension, debarment, or restriction on medical practice.

B. Registration Requirements

During registration, you agree to provide and maintain accurate, complete, and current information including:

  • Full name, State Medical Council Registration Number, NMC Unique ID (UID), and medical qualifications.

  • Valid government-issued photo ID and proof of address.

  • Professional photograph, contact details, and bank account details for payment processing.

  • Disclosure of any ongoing regulatory or disciplinary proceedings against your medical licence.

C. Verification

The Company reserves the right to verify your credentials with the NMC and relevant State Medical Councils at registration and at any subsequent point. Any misrepresentation of credentials shall result in immediate termination of your account and may be reported to the relevant regulatory authority.

D. Institutional and Employer Accounts

If you access the P4D App using an email address or registration credentials associated with a hospital, clinic group, or healthcare institution ("Institution"), your account may be linked to that Institution's enterprise account on the Platform. In such cases:

  • The Institution's designated administrator may be able to view your consultation activity, scheduling data, platform usage, and other account information within the scope of your practice at that Institution.

  • The Company will notify you before linking your account to an Institution's enterprise account. However, if the Institution has already informed you that it will monitor and manage your activity, the Company may rely on that notification.

  • You are responsible for understanding the monitoring and access policies of any Institution through whose account you access P4D.

  • The Privacy Policy applicable to Institutional accounts may differ from the standard P4D Privacy Policy. The Institution acts as a co-Data Fiduciary for data processed within the scope of your institutional practice.

III. SERVICES PROVIDED BY P4D

A. Teleconsultation Platform

The P4D App provides a technology platform facilitating:

  • Appointment management: Schedule management, acceptance, rejection, and reminders.

  • Pre-consultation information: Transmission of the Patient's pre-consultation SOAP summary, generated by the PHA Avatar on P4P, to the Doctor for review prior to consultation.

  • Consultation facilitation: Secure video, audio, and text-based teleconsultation tools. Live consultation video feeds are processed in real-time only - no video files are written to or stored on our servers at any point.

  • Post-consultation documentation: Live Scribe for automated transcription of consultations. Raw voice audio from Live Scribe is permanently deleted within 24 hours of the anonymization pipeline completing - only the structured text transcript is retained as a clinical record.

B. CDSS Lite - Clinical Decision Support

The P4D App provides AI-assisted clinical decision support including:

  • Medicine recommendations based on the patient's presented condition and history.

  • Differential diagnosis suggestions for the Doctor's consideration.

  • Treatment protocol suggestions drawn from evidence-based clinical databases.

  • Post-consultation prescription generation in draft form for the Doctor's review.

CRITICAL DISCLAIMER: ALL CDSS Lite outputs are DRAFT SUGGESTIONS ONLY and must be independently reviewed, verified, and approved by the Doctor before clinical reliance or communication to the Patient. The Company provides no warranty as to the clinical accuracy of CDSS Lite outputs.

REGULATORY STATUS: CDSS Lite, Live Scribe, and the Digital Twin are NOT currently classified, cleared, or approved as medical devices or Software as a Medical Device (SaMD) by CDSCO under the Medical Devices Rules, 2017, or by any other Indian regulatory authority. They are offered as assistive decision-support tools only, subject to the mandatory oversight of the treating RMP. The regulatory landscape for AI-assisted clinical tools in India is evolving; if CDSCO or any other authority reclassifies any P4D feature as a medical device or regulated SaMD, the Company will notify Doctors and take the steps required by law.

C. Digital Twin Creation and Management

The P4D App offers the facility for Doctors to create and manage a Digital Twin. This involves:

  • Uploading the Doctor's image and voice samples for avatar creation.

  • Training the Digital Twin through a personalized knowledge base curated by the Doctor.

  • Deployment of the Digital Twin as an AI assistant within the Doctor's practice on the P4D platform.

D. Data Management

Secure storage and management of consultation records, patient data (as received from P4P), prescriptions, and Digital Twin training data, subject to applicable data protection laws.

IV. DOCTOR'S OBLIGATIONS AND RESPONSIBILITIES

A. Professional Conduct and Regulatory Compliance

You shall at all times:

  • Adhere to the highest standards of medical ethics and professional conduct as prescribed by the NMC and applicable State Medical Councils.

  • Comply with the Telemedicine Practice Guidelines, 2020.

  • Comply with the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002, as deemed to be regulations of the National Medical Commission under Section 57 of the National Medical Commission Act, 2020, and any updated professional conduct regulations issued by the NMC from time to time.

  • Comply with the Information Technology Act, 2000, and rules framed thereunder including the IT-SPDI Rules, 2011.

  • Comply with the Digital Personal Data Protection Act, 2023.

  • Comply with all other applicable central and state laws and regulations governing medical practice and data protection in India.

B. Independent Medical Judgment - Non-Delegation

You acknowledge and irrevocably agree that:

  • P4D is solely a technology platform provider. It does NOT provide medical advice, diagnosis, or treatment.

  • ALL medical advice, diagnosis, treatment decisions, and prescriptions provided to Patients through the P4D App are solely and exclusively YOUR independent professional responsibility.

  • You shall exercise your independent clinical judgment in all aspects of patient care and shall not mechanically rely on or delegate your medical decision-making to the CDSS Lite, the Digital Twin, or any other AI feature of the App.

  • The PHA Avatar-generated SOAP pre-consultation summary is patient-reported data summarized by AI. You must clinically corroborate all such data during the live consultation and not treat it as a verified medical history.

C. Human-in-the-Loop for Prescriptions

Indian law does not permit AI systems to issue or sign medical prescriptions. In accordance with the Telemedicine Practice Guidelines, 2020:

  • All draft prescriptions generated by the P4D App are for your convenience as a documentation aid only.

  • You MUST manually review, edit where necessary, and digitally sign every prescription before it is transmitted to the Patient.

  • Your digital signature on a prescription constitutes your full clinical ownership and responsibility for its contents.

  • The Company is not liable for any clinical errors, omissions, or adverse outcomes arising from prescriptions that you have reviewed and signed.

D. Patient Confidentiality and Data Privacy

You shall:

  • Maintain strict confidentiality of all Patient information and medical records accessed through the P4D App.

  • Ensure that all handling of Patient data complies with the IT-SPDI Rules, 2011, and the DPDP Act, 2023.

  • Obtain all necessary consents from Patients for teleconsultations and data processing as required by law, in addition to the consent obtained by P4P.

  • Not disclose any Patient data to unauthorized third parties.

E. Appointment Management

You are solely responsible for managing your appointment schedule, accepting or rejecting appointments in a timely manner, and ensuring your availability for scheduled teleconsultations. Failure to attend a confirmed appointment without adequate notice may result in account review and possible suspension.

F. Emergency Situations

If, during a consultation or upon review of a Patient's pre-consultation SOAP summary, you identify or suspect a life-threatening or emergency medical condition (including but not limited to symptoms of cardiac arrest, acute stroke, severe trauma, respiratory distress, or imminent suicide risk), you MUST:

  • Immediately advise the Patient to call 112 (National Emergency Number) or 108 (Emergency Medical Services) or proceed to the nearest emergency department.

  • Document the emergency advice given in the consultation notes.

  • The P4D App is not designed or intended for emergency medical care. You must not attempt to manage emergency conditions through teleconsultation.

G. Prohibited Activities

You shall not:

  • Provide consultations or prescriptions outside your registered scope of practice or area of specialization.

  • Share your login credentials with any third party.

  • Allow your Digital Twin to provide direct medical advice or diagnosis to Patients without your direct, contemporaneous oversight and validation.

  • Use the App for any unlawful, fraudulent, or unethical medical purpose.

  • Misrepresent your qualifications, registration status, or professional experience.

V. DIGITAL TWIN - SPECIFIC TERMS

A. Nature of the Digital Twin

The Digital Twin is an AI-powered avatar modelled on the Doctor's likeness, voice, and curated medical knowledge. It is designed exclusively as an AI assistant to augment the Doctor's practice within the P4D platform. It is NOT an autonomous medical practitioner and must not be operated as one.

B. Ownership of Doctor's Input Data

You retain ownership of your image, voice samples, and the specific medical knowledge and expertise you provide (collectively, "Doctor's Input Data") for the creation and training of your Digital Twin.

C. Licence Granted to P4D

By providing Doctor's Input Data, you grant P4D a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, process, and create derivative works of your Doctor's Input Data solely for the purposes of creating, training, operating, improving, and maintaining your Digital Twin within the P4D App and associated services. This licence shall terminate upon the deletion of your account, subject to the Company's right to retain anonymized data for platform improvement.

D. Doctor's Responsibility for Digital Twin Outputs

You are SOLELY AND EXCLUSIVELY responsible for:

  • The medical accuracy, clinical appropriateness, ethical implications, and legal compliance of all information and outputs derived from your Digital Twin.

  • Reviewing and validating all outputs from your Digital Twin before relying on or communicating them to Patients or any third party.

  • Ensuring that the knowledge base and training data you provide for your Digital Twin is accurate, evidence-based, and complies with applicable medical and professional standards.

E. Limitations of the Digital Twin

You acknowledge that the Digital Twin is an AI model and may produce outputs that are inaccurate, incomplete, outdated, or not reflective of current clinical guidelines. It is an assistive tool only and must not replace your critical clinical reasoning, physical examination (where necessary), or direct patient interaction.

F. Identity and Credential Security

Since the Digital Twin is based on your biometric-like data (voice and image), you must:

  • Keep your account credentials strictly confidential.

  • Immediately notify the Company if you suspect unauthorized access to your account or misuse of your Digital Twin.

The Company is not liable for any harm arising from the misuse of your Digital Twin by a third party who gains access through your shared or compromised credentials.

G. Right to Revoke Digital Twin

You may, at any time, request revocation and deletion of your Digital Twin by contacting the Company at support@pranik.ai or through the App settings. Upon such request, the Company shall cease using your voice and image for the Digital Twin and will initiate erasure of the underlying biometric training data, subject to any mandatory log retention obligations under applicable law (minimum 1 year). You acknowledge the following technical distinction: deletion of your Doctor's Input Data refers to deletion of the original source files - your photographs, voice recordings, and uploaded knowledge base content. Neural network model weights that were derived from your Input Data during the training process exist as aggregate mathematical parameters and cannot be individually identified, attributed, or selectively removed from a trained model. The Company confirms that no trained model weights contain your identifiable Personal Data in recoverable form, and that deletion of source files constitutes full compliance with your erasure right in respect of the Digital Twin.

VI. DOCTOR AS DATA PRINCIPAL - CONSENT FOR AI MODEL TRAINING

You acknowledge that in addition to being a service provider on the Platform, you are also a Data Principal under the DPDP Act, 2023, as the Company processes your personal and professional data. You explicitly provide informed consent to:

  • The collection, storage, and processing of your consultation transcripts (de-identified and anonymized) and your curated Knowledge Base uploads for the purpose of fine-tuning your specific Digital Twin and improving the Company's clinical AI language models.

  • The use of anonymized aggregate consultation data for health analytics, clinical research, and service improvement.

  • The retention of audit logs of your activity on the Platform for the legally mandated period.

You have the right to withdraw this consent at any time by written notice to dpo@pranik.ai, subject to the impact on the functionality of your Digital Twin and applicable legal retention obligations.

B. Carve-Outs from Opt-Out

The following carve-outs apply regardless of any withdrawal of consent for AI model training:

  • Where your interactions or submissions are flagged by the Company's systems for safety review, trust and safety enforcement, or policy compliance, such data may be used to improve the Company's ability to detect harmful content, maintain platform integrity, and meet its regulatory obligations.

  • Where you explicitly report content or a consultation interaction to the Company (for example, by raising a support ticket or using an in-app reporting mechanism), the reported content will be treated as submitted for review and improvement purposes.

These carve-outs are limited strictly to safety and compliance purposes and will not be used for commercial analytics or to train general AI models.

VII. DATA PRIVACY AND SECURITY

A. Compliance Commitment

P4D is committed to protecting your Personal Data and the Personal Data of Patients processed through the Platform in accordance with the DPDP Act, 2023, the IT-SPDI Rules, 2011, and all other applicable Indian data protection legislation.

B. We Do Not Sell Your Data

P4D does not sell, rent, barter, or transfer your Personal Data - including your Doctor's Input Data, consultation transcripts, CDSS logs, or any anonymized derivative - to any third party for commercial purposes. No third-party advertiser, data broker, or commercial entity receives your data for their own purposes. This commitment is unconditional.

C. Audio and Video Processing

The following explicit commitments apply to audio and video data processed through P4D:

  • Raw voice audio from Live Scribe: permanently deleted within 24 hours of the anonymization pipeline completing. Raw audio is not retained as a clinical record - only the resulting structured text transcript is.

  • Live consultation video feeds: processed in real-time only. No video files are written to or stored on P4D servers at any point. The system has no video recording capability.

D. Processing of Patient Data

Patient Personal Data is transmitted to the P4D App from the P4P App for the sole purpose of facilitating consultations. You, as the treating Doctor, shall ensure that all Patient data accessed through the P4D App is handled with strict confidentiality and in compliance with applicable law.

E. Security Measures

The Company implements reasonable technical and organizational security measures to protect data. You are responsible for ensuring the security of your own devices, network connections, and login credentials used to access the P4D App.

F. Data Breach

In the event of a suspected data breach involving Patient data accessed through the P4D App, you must notify the Company immediately at dpo@pranik.ai. The Company will handle breach notifications in accordance with applicable law.

VIII. FEES AND PAYMENTS

The Company may charge subscription fees for premium P4D features or a commission on teleconsultation fees. Consultation fee payments to the Doctor are processed on a per-consult or weekly/bi-weekly basis via bank transfer to the Doctor's registered bank account. All applicable fees and payment terms will be communicated clearly. The Company reserves the right to revise its fee structure with prior notice.

IX. INTELLECTUAL PROPERTY RIGHTS

All intellectual property in the P4D App, including its software, CDSS Lite algorithms, Digital Twin technology, design, and underlying AI models (excluding the Doctor's Input Data), is owned by the Company or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the P4D App solely for its intended professional purpose.

Any consultation notes, prescriptions, or clinical content you generate through the App remain your intellectual property; however, by submitting such content, you grant the Company a limited licence to process and store it for the purposes of operating and improving the Platform.

X. DISCLAIMERS AND LIMITATION OF LIABILITY

A. Platform Technology Provider

P4D is a technology platform only. It DOES NOT provide medical services, advice, diagnosis, or treatment. All clinical decisions and patient care are the sole responsibility of the Doctor.

B. No Warranty on CDSS and Digital Twin Outputs

THE CDSS LITE, LIVE SCRIBE TRANSCRIPTION, PRE-CONSULTATION SOAP SUMMARIES, AND DIGITAL TWIN OUTPUTS ARE PROVIDED ON AN "AS IS" BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THEIR CLINICAL ACCURACY, COMPLETENESS, OR FITNESS FOR CLINICAL RELIANCE. YOU ASSUME ALL RISK IN RELYING ON THESE OUTPUTS WITHOUT INDEPENDENT CLINICAL VERIFICATION.

B-1. Specific Warnings on AI Output Reliance

You expressly acknowledge:

  • AI outputs - including CDSS Lite recommendations, SOAP pre-consultation summaries, Live Scribe transcripts, and Digital Twin responses - may contain material errors even where they appear accurate due to their level of detail, specificity, or clinical confidence.

  • A detailed or specific-sounding CDSS suggestion is not a substitute for your independent clinical reasoning.

  • AI outputs may not reflect current clinical guidelines, recent drug safety updates, or the specific clinical presentation of the individual patient.

  • AI outputs may occasionally be inconsistent with the Company's own policies or established medical standards.

  • None of the AI features on P4D are approved medical devices under applicable Indian regulatory frameworks.

C. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, P4D SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM: (I) THE USE OR INABILITY TO USE THE P4D APP; (II) CLINICAL ERRORS IN CDSS LITE, SOAP SUMMARIES, TRANSCRIPTIONS, OR DIGITAL TWIN OUTPUTS; (III) UNAUTHORIZED ACCESS TO OR MISUSE OF THE DOCTOR'S DIGITAL TWIN; (IV) ANY PATIENT HARM ARISING FROM MEDICAL ADVICE, DIAGNOSIS, OR PRESCRIPTIONS PROVIDED BY THE DOCTOR; OR (V) ANY OTHER MATTER RELATING TO THE P4D APP OR SERVICES.

The Company's total aggregate liability for any and all claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees paid by you to the Company in the six (6) months preceding the date the claim arose; or (b) INR 5,000 (Indian Rupees Five Thousand) - whichever is higher. This minimum floor is intended to ensure the limitation is not illusory and reflects the professional context of this agreement. For the avoidance of doubt, nothing in this Agreement limits liability for death or personal injury caused by gross negligence or wilful misconduct by the Company.

XI. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless P4D, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the P4D App and Services.

  • Your violation of these Terms or any applicable laws or regulations.

  • Your professional negligence, misconduct, or malpractice in providing medical services through the P4D App.

  • Any breach of patient confidentiality or data privacy obligations by you.

  • Any claims arising from the medical accuracy, completeness, or ethical implications of advice, diagnoses, or prescriptions issued by you.

  • Any claims arising from the content of your Digital Twin's outputs or the Doctor's Input Data you provided.

  • Any misuse of your account credentials by a third party resulting from your failure to maintain their confidentiality.

XII. TERMINATION

P4D may, in its sole discretion, suspend or terminate your account and access to the P4D App at any time, with or without cause, including but not limited to: breach of these Terms, misrepresentation of credentials, regulatory action against your medical licence, or conduct that may expose P4D or its users to legal liability. You may terminate your account at any time through the App settings or by contacting support@pranik.ai. Upon termination, all licences granted to you shall immediately cease. Provisions relating to intellectual property, confidentiality, data privacy, indemnification, and dispute resolution shall survive termination.

A. Data After Termination - Five Buckets

Termination of your account does NOT result in the immediate deletion of all data. Different categories are treated as follows:

  • Bucket 1 - Clinical Records (consultation transcripts, e-signed prescriptions, doctor's notes, CDSS logs): retained for mandatory statutory periods - minimum 7 years for consultation records; minimum 5 years for prescriptions - regardless of account status. This is a legal obligation under the Telemedicine Practice Guidelines, 2020, the Drugs and Cosmetics Act, and other applicable regulations.

  • Bucket 2 - Raw Audio (Live Scribe voice recordings): permanently deleted within 24 hours of the anonymization pipeline completing. This deletion occurs automatically and is not affected by account termination.

  • Bucket 3 - Raw Video (live consultation feeds): never stored at any point. No action required on termination.

  • Bucket 4 - Doctor's Input Data (Digital Twin face, voice, knowledge base): source files deleted within 30 days of revocation or account closure request. Audit logs retained for a minimum of 1 year. See Section V.G for full Digital Twin deletion terms.

  • Bucket 5 - Anonymized AI Data: retained indefinitely as it is no longer Personal Data. Cannot be extracted, attributed, or reversed.

Data retained solely to fulfil legal obligations will not be used for any other purpose including AI training or analytics.

B. Inactivity

If your account has been inactive for a continuous period of eighteen (18) months - meaning no consultations conducted and no login activity - and you do not have an active paid subscription, the Company reserves the right to deactivate your account. Before doing so, the Company will provide not less than 30 (thirty) days' prior written notice to your registered email address. Inactivity-based deactivation is subject to: (a) the health data retention obligations above; (b) the Company's obligation to continue providing patient records to any regulator that requires them; and (c) your right to request reactivation or data portability before deletion.

XIII. GOVERNING LAW AND DISPUTE RESOLUTION

A. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

B. Amicable Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or their breach, termination, or invalidity shall first be attempted to be resolved amicably through mutual discussions within thirty (30) days of one party providing written notice of the dispute.

C. Arbitration

If the dispute is not resolved amicably within thirty (30) days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties, failing which by the High Court at Hyderabad. The seat and venue of arbitration shall be Hyderabad, Telangana, India. The language shall be English. The arbitral award shall be final and binding.

D. Jurisdiction

Subject to the arbitration clause, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

XIV. AMENDMENTS TO TERMS AND CHANGES TO SERVICES

A. Amendments to Terms

P4D reserves the right to modify these Terms at any time. For material changes, we will provide not less than thirty (30) days' prior notice via in-app notification or to your registered email address. Your continued use of the P4D App after such notice period constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease use of the P4D App.

B. Changes to Services

The Company may add, modify, limit, or discontinue features and services on the P4D App over time. For changes to or discontinuation of the following core clinical features - Teleconsultation Platform, Live Scribe, and CDSS Lite - the Company will provide not less than 30 (thirty) days' prior written notice to registered Doctors. Immediate discontinuation may occur without such notice where required by law, regulatory order, security incident, or prevention of harm; in such cases, notice will be provided as soon as practicable. The Company is not liable for changes to non-core features.

C. Jurisdiction and Permitted Usage

The P4D App is designed, regulated, and licensed for use within the territory of India. Telemedicine services facilitated through the P4D App must comply with the Telemedicine Practice Guidelines, 2020, which govern consultations between RMPs registered in India and patients in India. You must not use the P4D App to conduct consultations with or for patients outside India unless the Company has expressly confirmed in writing that such usage complies with applicable law in the relevant jurisdiction. The Company makes no representation that the P4D App or its services comply with the medical or data protection laws of any jurisdiction other than India.

XV. MISCELLANEOUS

A. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

B. Entire Agreement

These Terms, together with the Privacy Policy and any referenced policies, constitute the entire agreement between you and P4D regarding use of the P4D App and supersede all prior communications and agreements.

C. Force Majeure

P4D shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, pandemic, regulatory orders, or failure of telecommunications or internet infrastructure.

F. Feedback and Knowledge Base Content - No Compensation

You may from time to time provide feedback, suggestions, ratings, or ideas about the P4D App ("Feedback"). You also provide Knowledge Base content to train your Digital Twin. With respect to both:

  • You have no obligation to provide Feedback. If you do, you agree that the Company may use your Feedback for any purpose - including product improvement, service enhancement, and AI model training - without any obligation of confidentiality, attribution, or compensation to you.

  • Knowledge Base content you upload remains your intellectual property (see Section IX). Your licence to the Company for Knowledge Base use is limited to the purposes described in Section V.C. The Company will not commercially exploit your Knowledge Base content beyond those permitted purposes and will not claim authorship of clinical content you create.

  • No fee, royalty, or other compensation is payable by the Company for any Feedback or Knowledge Base content you provide, regardless of whether such content contributes to improvements in the Platform or AI models.

D. Relationship of Parties

Nothing in these Terms shall be construed to create an employer-employee, partnership, joint venture, or agency relationship between the Doctor and P4D. The Doctor operates as an independent professional. P4D is solely a technology platform provider.

E. No Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of P4D.

XVII. ACKNOWLEDGEMENT AND EXECUTION

By accessing, registering for, or using the P4D App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, the Privacy Policy, and the Consent Notice of Pranik.ai for Doctors.
